Terms of Service

These terms are an agreement between you and Propheus Pte. Ltd. for the use of Digital Atlas and propheus.com. Please read them carefully, especially sections 16 to 19, which disclaim warranties, exclude and limit our liability, require you to indemnify us and send disputes to arbitration in Singapore.

Effective 26 October 2026.

1. Who we are and what these terms cover

Propheus Pte. Ltd., a company incorporated in Singapore (“Propheus”, “we”, “us”), operates propheus.com, digitalatlaspropheus.com, the Digital Atlas HTTP API, the Digital Atlas MCP server, Agent Lab, the Explorer and related websites, tools, data and documentation (together, the “Service”).

“You” means the person using the Service and, where that person uses it for an organisation, that organisation too. If you use the Service for an organisation, you confirm that you are authorised to accept these terms on its behalf.

If you and Propheus have signed a separate written agreement or order form for the Service, that agreement prevails over these terms where they conflict.

2. Accepting these terms

You accept these terms when you tick the box agreeing to them, when you create an account, or when you use the Service, whichever happens first. If you do not agree, do not use the Service.

The Service is provided for business and professional use. By using it, you confirm that you are acting for the purposes of your trade, business, profession or organisation and not as a consumer.

You must be at least 18 years old and able to enter into a binding contract. You may not use the Service if you are barred from doing so under the laws of Singapore or of the place you use it from, including sanctions and export control laws.

3. Changes to the Service and to these terms

We continually change the Service. We may add, change or remove tools, data, features, limits and prices, and we may retire parts of the Service.

We may update these terms. When a change is material we will give notice through the Service or by email, and we may ask you to accept the new terms before you continue. The updated terms take effect on the date they show. If you keep using the Service after that date, you accept them. If you do not accept them, stop using the Service and close your account.

4. Your account and API keys

  • Give accurate information when you sign up, and keep it up to date.
  • Keep your password, sessions and API keys secret. Do not put API keys in public code, client-side applications or shared documents.
  • You are responsible for everything done with your account and your API keys, including by AI agents, scripts and people you give access to, and for the credits they spend.
  • Tell us at support@propheus.com without delay if you believe an account or key has been compromised, and revoke the key from your account.
  • If you belong to an organisation in the Service, its owners and managers can control access, keys and shared credits for that organisation.

5. Credits, plans and payment

  • Most tool calls spend credits. The price of a call, the credits included in a plan and the rate limits are shown in the Service and may change. Trial credits are limited and expire as stated when they are granted.
  • Paid plans are billed in advance and renew automatically until you cancel. Prices exclude taxes, which you pay where they apply.
  • Credits have no cash value, cannot be transferred or exchanged for money, and expire as stated in your plan. Except where the law requires otherwise, fees and credits are not refundable, including for unused credits or partial periods.
  • We may suspend paid features if a payment fails or is reversed, and we may correct billing or metering errors in either direction.

6. Usage limits and fair use

The Service has usage limits. They include rate limits (such as requests a minute), limits on concurrent requests, Agent Lab runs and connections, limits on the size and number of requests, uploads and results, credit balances, and caps set for an account, key or organisation. Current limits are shown in the Service or its documentation. We may set, change and enforce them at any time, without notice where needed to protect the Service or other users.

You must stay within your limits and must not place an unreasonable or disproportionate load on the Service. Excessive use includes, for example:

  • sending requests faster than your limits allow;
  • retrying failed or rate-limited requests without a reasonable delay;
  • running AI agents, scripts or integrations in unattended or repeating loops that generate large numbers of calls;
  • spreading use across several keys or accounts to obtain more than your plan allows; and
  • any volume or pattern of use far beyond normal use of your plan, or that degrades the Service for others.

If your use exceeds your limits or is excessive, we may, without liability to you, reject, delay, queue or throttle requests (for example with an HTTP 429 response), stop Agent Lab runs, temporarily suspend keys or accounts, require you to move to a plan that suits your use, and charge credits or fees for requests that were processed. You are responsible for all credits and fees incurred by your account and keys, including through runaway or looping agents and scripts.

Limits are not a commitment of capacity. Unless a written agreement says otherwise, we do not guarantee any volume of requests, throughput or response time.

7. Acceptable use

You must not, and must not let anyone else:

  • use the Service unlawfully, or to infringe or violate anyone’s rights;
  • use the Service, or any output from it, to make decisions about an individual’s eligibility for credit, insurance, employment, housing, education or government benefits, or as a consumer report;
  • attempt to identify, track or profile individual people, or to combine outputs with other data in order to do so;
  • use the Service to discriminate unlawfully against people based on a protected characteristic;
  • bulk download, scrape or systematically extract data so as to copy, rebuild or substitute for any part of the Service or its datasets;
  • resell, sublicense, rent or provide the Service or its raw data to others as a service, except as allowed in section 9 or in a written agreement with us;
  • get around rate limits, credit metering, access controls or security measures, share keys to avoid limits, or create accounts to obtain extra trial credits;
  • reverse engineer, decompile or try to extract source code, models or underlying datasets, except where the law expressly allows it;
  • probe, scan or test the Service’s vulnerabilities without our written permission, send malware, or interfere with or overload the Service;
  • use the Service to build or train a competing product or dataset, or to benchmark it publicly without our written permission; or
  • use the Service where a failure or error could lead to death, injury or serious physical or environmental damage.

8. Ownership and your licence

Propheus and its licensors own the Service, the Digital Atlas datasets, models, scores, software and documentation, and all intellectual property in them, including all improvements and changes to them. These terms grant you only the rights expressly stated, and do not transfer any ownership to you. We reserve all other rights.

While you comply with these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service and its outputs for your internal business purposes, and to create and use Derivative Works as allowed in section 9.

Some outputs come from public or third-party sources, such as the US Census Bureau and OpenStreetMap, whose own licences and attribution requirements also apply. Section 13 covers them.

9. Derivative works

“Derivative Work” means any report, analysis, map, chart, presentation, dataset, model, score, application or other material that you create using, or that incorporates or is derived from, the Service or its outputs.

You may create Derivative Works for your internal business purposes, share them with your clients and advisers, and include them in your own products and services, as long as:

  • the Derivative Work adds your own substantial analysis or presentation, and does not supply Atlas data in bulk or in a form from which it could reasonably be extracted, reconstructed or used as a substitute for the Service or its datasets;
  • you do not offer outputs, or any Derivative Work, as a data feed, API, dataset or similar product that competes with the Service;
  • you keep the attribution and notices that we or our data sources require, such as “Contains data from Digital Atlas by Propheus” and the OpenStreetMap attribution, and comply with the licences of those sources (some open-data licences, such as the Open Database License, require databases derived from that data to be shared under the same licence);
  • you do not state or imply that Propheus has endorsed, checked or is responsible for the Derivative Work or any conclusion in it; and
  • you do not use outputs to train, fine-tune or evaluate a machine-learning model, or to build a dataset, that is designed to reproduce, replicate or substitute for the Service or its datasets.

Subject to our rights in the Service, its data and outputs, and to the rights of third parties, you own the Derivative Works you create. Atlas data contained in a Derivative Work remains ours or our licensors’, and remains subject to these terms.

You may not copy, modify, translate or create derivative works of the Service itself, including its software, documentation, datasets, models or scores, except Derivative Works allowed by this section.

After your access ends, you may keep and continue to use Derivative Works that you created in line with these terms before that date. You must delete any outputs you have stored in bulk or raw form, unless the law requires you to keep them.

You are solely responsible for your Derivative Works, for the conclusions and decisions drawn from them, and for their use by anyone you share them with. To the extent the law allows, Propheus has no liability to you or to any recipient for a Derivative Work.

10. AI features and connected AI clients

The Service can be used through AI agents and AI clients that you connect, such as MCP clients and chat assistants, and through Agent Lab, which runs an AI model on your behalf.

  • AI-generated answers can be wrong, incomplete or misleading even when the underlying data is correct. Check anything important against the returned data and other sources before you rely on it.
  • AI clients and model providers you connect are third parties that we do not control. Their terms and privacy practices apply to what you send them. You are responsible for the actions those clients take with your account and keys.
  • Agent Lab works with a dedicated API key on your account and may spend your credits on the tool calls it makes. You can revoke that key at any time.

11. Your content

You keep ownership of the data, files, prompts and questions you submit to the Service, such as sales figures or store lists (“Your Content”). You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process and analyse Your Content only as needed to provide, secure and support the Service for you.

You confirm that you have the rights and permissions needed to submit Your Content and that it does not contain personal data you are not allowed to share with us. Do not submit sensitive personal data, such as health, financial account or government identification numbers.

We do not sell Your Content. We may use aggregated, de-identified usage information, such as which tools are called and how often, to run and improve the Service.

If you send us suggestions or feedback, we may use them without any obligation to you.

12. Privacy and personal data

We collect and use the personal data needed to run your account and the Service: your name, email address, organisation, sign-in records, IP addresses, API key metadata, usage and billing records, and a record of your acceptance of these terms. We use it to provide, secure, bill and support the Service, to communicate with you about it, and to meet legal obligations.

We handle personal data in line with Singapore’s Personal Data Protection Act 2012 and other laws that apply. Our service providers process it for us under contract, and it may be stored or processed outside the country you are in. You can ask to access or correct your personal data, or withdraw consent, by writing to support@propheus.com. You can delete your account from your profile page.

13. Third-party services and data sources

The Service uses and links to third-party services and data, including public datasets (for example US Census ACS, LODES and TIGER/Line), OpenStreetMap, map providers, identity providers, payment processors and AI model providers. They are provided by those third parties under their own terms. We are not responsible for them, for their availability, or for the accuracy of third-party data.

14. Availability and support

We aim to keep the Service available and secure, but we do not promise that it will be uninterrupted, timely, error-free or available at any particular time, and we do not offer a service level unless a written agreement says so. We may limit, suspend or change the Service for maintenance, security, legal reasons, abuse or excessive use under section 6. Features described as free, trial, preview, beta or experimental are provided for evaluation, may change or stop at any time and are excluded from any commitment we make. Support is provided on a reasonable-efforts basis at support@propheus.com.

15. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or end your access, revoke keys or remove Your Content, with or without notice, if you breach these terms, if your use creates risk or possible liability for us or others, if required by law, or if we discontinue the Service. If we end a paid plan for convenience and not for your breach, we will refund prepaid fees for the unused period. That refund is your only remedy for such termination.

When your access ends, your licence ends and your keys stop working. Sections 8, 9 and 11 (ownership, derivative works and feedback), sections 16 to 20, and any fees you owe survive.

16. No warranties

The Service, its data and all outputs are provided “as is”, “as available” and with all faults. To the fullest extent the law allows, Propheus and its licensors and suppliers disclaim all warranties, conditions, representations and terms, whether express, implied or statutory, including merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness, reliability, timeliness, title, quiet enjoyment and non-infringement.

Digital Atlas data includes estimates, models, forecasts, scores and data from third-party sources. It may be out of date, incomplete or wrong, and it describes areas and places rather than verified facts about any individual. We do not warrant that outputs will be fit for your purpose, that errors will be corrected, or that the Service will be secure or free of harmful components.

Outputs are not professional advice, including investment, financial, real estate, legal, tax, engineering or safety advice. You are solely responsible for checking outputs before relying on them, for how you use them and for the decisions you make with them. You confirm that you have not relied on any statement, promise or representation that is not set out in these terms.

17. Limitation of liability

Nothing in these terms excludes or limits any liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other matter for which liability cannot be excluded or limited under the law that applies. If the law gives you rights as a consumer that cannot be waived, these terms do not affect them. Everything else in this section is subject to this paragraph.

To the fullest extent the law allows, Propheus and its affiliates, directors, officers, employees, contractors, licensors and suppliers will not be liable to you or to anyone claiming through you for any loss or damage arising from or related to the Service, its data or outputs, any Derivative Work, or these terms, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, even if we were told the loss was possible. This includes, without limitation:

  • loss of profit, revenue, business, contracts, goodwill or anticipated savings;
  • losses from investment, site selection, leasing, lending, pricing or other decisions made using the Service, its outputs or a Derivative Work;
  • loss caused by inaccurate, incomplete, delayed or unavailable data or outputs, including AI-generated answers;
  • loss caused by AI clients, agents, scripts or model providers that you connect or use, or by anyone using your account or keys;
  • loss caused by rate limiting, throttling, suspension or termination under these terms, or by third-party services and data;
  • loss or corruption of data, or the cost of substitute services; and
  • any indirect, incidental, special, consequential, exemplary or punitive loss.

If, despite this, Propheus is found liable to you, our total aggregate liability for all claims together, however arising, will not exceed the greater of (a) the fees you actually paid us for the Service in the 12 months before the event giving rise to the first claim and (b) US$100.

Where the law implies terms into these terms that cannot be excluded, our liability for breaching them is limited, where the law allows, to supplying the Service again or paying for it to be supplied again.

To the extent the law allows, any claim against Propheus must be started within one year after the facts giving rise to it first arose, or it is permanently barred.

You agree that these exclusions and limits are reasonable, that they reflect an allocation of risk that is reflected in our prices and in the free and trial access we offer, and that we would not provide the Service without them. Each exclusion and limit is separate and continues to apply even if another is held unenforceable or a remedy fails of its essential purpose.

18. Indemnity

You will defend, indemnify and hold harmless Propheus and its affiliates, directors, officers, employees and contractors from and against any claims, demands, proceedings, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising from or related to Your Content, your use of the Service or its outputs, your Derivative Works, the AI clients, agents and scripts you connect, use of your account or keys, your breach of these terms, or your violation of any law or anyone else’s rights.

We will tell you about a claim we ask you to cover. We may take part in or take control of its defence at your cost, and you may not settle it without our written consent.

19. Governing law and disputes

These terms, and any dispute about them or the Service, are governed by Singapore law.

Before starting formal proceedings, please write to support@propheus.com so we can try to resolve the matter within 30 days. Any dispute that is not resolved, including about the existence, validity or termination of these terms, will be finally resolved by arbitration administered by the Singapore International Arbitration Centre under its rules then in force. The seat of arbitration is Singapore, the tribunal is one arbitrator, and the language is English.

To the extent the law allows, disputes will be resolved individually and not as a class, collective or representative action. Either party may still ask any court for urgent interim relief, such as an injunction, to protect its intellectual property or confidential information.

20. General

  • These terms, together with any written agreement or order form under section 1, are the entire agreement between you and Propheus about the Service.
  • You may not assign or transfer these terms without our written consent. We may assign them to an affiliate or to a successor of our business.
  • If any part of these terms is found invalid or unenforceable, it is changed to the minimum extent needed to make it enforceable, and the rest of these terms remains in full effect.
  • A failure or delay in enforcing any part of these terms is not a waiver.
  • We are not liable for delay or failure caused by events beyond our reasonable control, such as outages of networks, cloud or data providers, natural disasters, industrial action or acts of government.
  • Propheus’s affiliates, directors, officers, employees, contractors, licensors and suppliers may rely on and enforce sections 17 and 18. Otherwise, no one other than you and Propheus has any right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce these terms. We do not need anyone else’s consent to change or end these terms.
  • We may send notices to the email address on your account or through the Service. Send notices to us at support@propheus.com.
  • These terms are written in English. Any translation is for convenience only, and the English version prevails.
